Purpose:

The Executive Committee acts for the Board between regularly scheduled Board meetings, conducting such routine business as it may deem necessary.

Background:

The Executive Committee (EC) is a Standing Committee in the SHHA.  It is comprised solely of Board members, with the President as Chair, and makes decisions via a majority vote of a quorum. It has full authority to act for the Board between regularly scheduled Board meetings.  Its portfolio includes, but is not limited to, the following responsibilities:

  1. Contracting for outside legal counsel.
  2. Reporting all actions taken by the EC at the next Board Meeting.   
  3. Providing “vision” and “guidance” to Board of Directors.
  4. Periodically reviewing whether goals set for the SHHA are being met.
  5. Making recommendations for committee membership to be approved by the BOD.
  6. Exercising final editorial rights to SHHA publications
